ContractCart Terms of Use
ContractCart is an iPhone marketplace run by 1000819600 Ontario Ltd., operating as Radwan Labs ("Radwan Labs", "we") that connects verified real estate buyers with wholesalers and agents who have properties under contract or listed. By creating an account you agree to these terms.
1. What ContractCart is, and isn't
ContractCart only introduces buyers and sellers. We are not a real estate broker or agent, title company, escrow agent, lender or law firm. We don't represent anyone, don't negotiate for anyone, and don't give legal, tax or investment advice. Do your own inspection and due diligence and use your own advisers.
2. Accounts and verification
- You must be 18 or older and pass an ID check before posting or locking deals.
- Buyers must upload proof of funds; it sets the most you can lock and is valid for 90 days.
- Agents provide their license number and state, which is shown to buyers after a JV is signed.
- One person, one account. Keep your login private.
3. Sellers and agents
- You may only post properties you have a signed purchase contract for (wholesalers) or are authorised to market (agents).
- You are solely responsible for following the wholesaling, disclosure, licensing and advertising rules of the property's state and city. ContractCart shows a heads-up for some states, but it isn't legal advice and may be incomplete.
- Photos must not show house numbers, street signs, yard signs or anything identifying the address.
- Agents: the ContractCart platform fee is a flat marketplace fee, not a share of any commission. Follow your brokerage's and state's rules on fees and disclosures.
4. Locking a deal
- Locking takes a deal off the feed for everyone else. It needs approved proof of funds covering the price and a refundable card hold (currently $250), authorised through Stripe but not charged.
- After locking, both sides sign the ContractCart Joint Venture Agreement within 24 hours.
- After the JV is signed, the buyer has 48 hours to deliver the earnest money deposit (EMD) directly to the title company. ContractCart never holds EMD or purchase money. Always call the title company at a verified number to confirm wire instructions.
- The hold is released when the EMD is confirmed at title or the seller releases the deal. If you miss the EMD deadline, the deal goes back to the feed, you get a strike, and the hold is charged. 2 strikes pause locking for 30 days.
5. The $5,000 platform fee
Every deal made through ContractCart closes under a JV Agreement that includes a flat $5,000 platform fee to Radwan Labs. It is earned and payable only at closing, charged to the buyer as a closing cost on the settlement statement (unless the parties agree otherwise in writing) and paid out by the title company. It's owed however the purchase is completed (a different title company, double closing, novation, an entity or a related person), and if title doesn't pay it, the buyer and the wholesaler owe it directly within 5 days of closing. If a deal doesn't close, no fee is owed (except under section 6).
6. Non-circumvention
For 12 months after ContractCart introduces a buyer and a seller on a property, neither may buy, sell or assign that property, or any other property they were introduced on through ContractCart, with each other outside ContractCart to avoid the platform fee. If you do, you owe the $5,000 fee for each such transaction plus reasonable collection costs and attorney fees. Contact details and exact addresses stay hidden until the JV is signed, and chat masks phone numbers, emails and links. Attempts to get around this lead to suspension and a ban.
6a. Address Access Agreement
Buyers with verified ID and approved proof of funds can see a live deal's exact address before locking by initialing the Address Access Agreement for that property. Locking also requires it, because the JV shows the address. By initialing it you agree, for 12 months, not to contact the owner, the owner's agent or family, the title company or anyone connected to the property about buying it except through ContractCart, and that if you or anyone connected to you acquires the property other than through a ContractCart JV, you owe the $5,000 platform fee plus reasonable collection costs and attorney fees. Your name, initials, the time, device and IP address are recorded as your signature.
7. Featured boosts and ads
Sellers can buy featured boosts through Apple in-app purchase. Boosts are non-refundable except as Apple's policies allow. ContractCart shows ads on browsing screens only.
7a. Referral rewards
If someone joins with your invite code and closes a deal through ContractCart within 12 months of signing up, Radwan Labs pays you the referral reward shown in the app's Invite screen at the time (currently up to $500) per closed deal, only once that deal has fully closed and the platform fee for it is received. Deals that are locked, signed or funded but don't close pay nothing. Inviting the other side (wholesalers inviting buyers, buyers inviting wholesalers, agents inviting either) earns the full reward; inviting your own side may earn a smaller reward or none, as shown in the app at the time of closing. Rewards are one level only (nothing on people your invitees invite), aren't paid for inviting yourself or a second account, or on a deal you're a party to, and come from Radwan Labs' own fee, never from the buyer's or seller's money. Licensed agents: if your state or brokerage doesn't allow you to receive referral rewards personally, tell us and we'll pay your brokerage or skip it. You're responsible for any taxes on rewards. We may change or end the program for future referrals at any time; rewards already earned are still paid.
7b. Our app, content and data
ContractCart, including its software, design, screens, features, workflows, text, deal grades, scores, agreements, and the deals, buyers and market data on it, belongs to ContractCart (1000819600 Ontario Ltd., operating as Radwan Labs) or its users and is protected by copyright, trademark and other laws. Your account gives you a personal, non-transferable right to use the app for your own real estate business. You agree not to, and not to help anyone else: (a) copy, scrape, download in bulk, or collect deals, users, buyers, contact details or market data from ContractCart by any automated or manual means; (b) reverse engineer, decompile or take apart the app or its servers; (c) use ContractCart, or anything you learn from inside it that isn't public, to design, build, train, test or market a competing product or service; (d) copy the app's screens, features, agreements or written content into another product; or (e) create an account on behalf of a competitor, or for research for one, without our written permission. If you break this section we may close your account immediately, and you agree we can seek a court order to stop it (without posting a bond, where the law allows) plus any damages and reasonable attorney fees. We record account, device and activity information to enforce these terms. This section survives the end of your account.
8. Fair housing
You may not discriminate against anyone on the basis of race, color, religion, sex, disability, familial status, national origin or any other protected class under federal, state or local law.
9. Our liability
ContractCart is provided "as is". We don't guarantee any deal, price, ARV, repair estimate, title or closing. To the extent the law allows, our total liability to you is limited to the amounts you paid us in the 12 months before the claim.
10. Ending your account
You can delete your account in the app (Profile → Delete account). We may suspend accounts that break these terms. Sections 5, 6 and 9 survive.

Wholesaler tools
The pipeline, buyers list and other wholesaler tools are free for members who list their signed contracts on ContractCart. Free accounts that don't list have limits (open leads and saved buyers), and ContractCart Pro removes them. Before first use you initial the Wholesaler Tools Agreement: contracts you sign on properties tracked in your pipeline are listed on ContractCart and sold through a ContractCart JV; selling one any other way means a pipeline fee is owed (the amount is shown in the agreement). Each lead marked signed also gets its own initialed Pipeline Agreement. Your pipeline and buyers list are private to you; we never contact the people in them. We may review signed leads that are never listed, to keep the tools fair.
